New Hampshire has three types of corporate entities: business, professional and nonprofit corporations. Individuals seeking to run a business for profit generally file a business corporation. However, professionally licensed individuals file a professional corporation to run a practice. Charities, schools and churches should generally file for a nonprofit corporation. The New Hampshire Department of State Corporate Division provides filing forms for all three types of corporate organizations. Filers can obtain the forms online. The filers then submit the form and filing fee to the Corporate Division to start a New Hampshire corporation.
Access the Corporate Division’s “Corporate Forms” page to find the “Articles of Incorporation” for business and professional corporations. You can access the page at Sos.nh.gov/corporate/Corpforms.html. If you are filing a New Hampshire nonprofit, access the “Articles of Agreement” at Sos.nh.gov/corporate/PDF/Form_NP-1_V-1.0.pdf.
Read through the instructions in your chosen filing form. You may have to fill out an additional form. For example, some filers must fill out a Form SRA. Nonprofits usually also have some additional requirements. The instructions in each form will explain what you need to do.
Fill out the “Articles of Incorporation” or “Articles of Agreement” and related forms. Note that these kinds of preexisting forms provide only the minimum necessary to file a New Hampshire business. In addition, the instructions and forms do not give legal advice. Therefore, you should consult a New Hampshire business attorney if you have any questions.
For example, a nonprofit registered in any state must also meet federal requirements to obtain a tax exemption from the Internal Revenue Service. Read Publication 557 on the IRS.gov website to get details on how to qualify as a tax-exempt nonprofit corporation at the federal level.
Prepare your New Hampshire corporate filing fees. As of 2010, the fee is $100 for business or professional organizations and $25 for a New Hampshire nonprofit. Make checks payable to “State of New Hampshire.”
