Wyoming allows individuals interested in running a new business or charity to register a corporation. Filers can register either a for-profit or nonprofit corporation with the Wyoming Secretary of State. They first choose a name and check to see if that business name is still available. After confirming that their chosen name is available, filers can get a preexisting incorporation form from the Secretary of State. After filling out the form, filers then submit the form and a filing fee to create a Wyoming corporation.
Think of a name for your corporate entity. Open the “Filing Search” page on the Wyoming Secretary of State’s website at Wyobiz.wy.gov/Business/FilingSearch.aspx (this is an “https” secure web page). Enter the Wyoming business name you would like to use and run a search. You can then see if anyone else has already registered your desired name. Make sure your business name is distinguishable from all other registered names before using it on your filing form.
Open the “Forms and Filings” page at Soswy.state.wy.us/Forms/FormsFiling.aspx?startwith=Business. On this page, you can click on “Nonprofit Corporations” and “Profit Corporations” and then “Wyoming Entities” to find the incorporation forms. Click on “Incorporation Articles” for your respective entity type to get the filing form.
Fill out the “Articles of Incorporation” for the Wyoming business or charity you seek to file. Keep in mind that these preexisting forms only provide the generic minimum necessary to create a Wyoming nonprofit or business corporation. Consult with a Wyoming business attorney if you need personal assistance, as the forms do not give you all of your legal options.
For example, if you are opening a Wyoming nonprofit, you will need to include specific articles in your filing form to qualify for federal tax-exempt status. Read Publication 557 at the IRS.gov website to learn more about Internal Revenue Service tax-exempt-charity filing requirements. You must do this before completing the articles for your nonprofit corporation.
Prepare the Wyoming corporation filing fees. As of 2010, the fee is $25 for a nonprofit and $100 for a business corporation. Make checks payable to “Wyoming Secretary of State.”
